The board of directors of Reynolds American consists of 12 members divided into three classes serving staggered terms of three years, with the terms of class I, class II and class III directors ending, respectively, on the dates of RAI's 2011, 2012 and 2010 annual meetings.

Mr. Wajnert provides senior advisory services and is very active in corporate governance activities. He has been a CEO of public and privately owned companies, a retained advisor to private equity firms, a senior executive coach and mentor to CEOs, and a director of both public and privately owned companies. Mr. Wajnert is a principal of The Alta Group, a global consultancy focused on the financial services sector, and is currently serving as a senior advisor/executive coach to the CEO of a Fortune 500 firm. He is lead director and chairman of the Compensation Committee at Reynolds American Inc. and chairman of the Audit Committee at UDR (NYSE). He is also chairman of FGIC, a private-equity-owned insurance company. Mr Wajnert is the retired founder, chairman and CEO of AT&T Capital Corporation (NYSE).

Susan Ivey is chairman, president and chief executive officer of Reynolds American Inc., as well as president of RAI Services Company. She became chairman of Reynolds American on Jan. 1, 2006, and president, chief executive officer and a director of Reynolds American in January 2004. She became president of RAI Services in January 2010. She also served as chairman of RAI's largest subsidiary, R.J. Reynolds, from July 2004 through April 2008.
Ivey was formerly president and chief executive officer of Brown & Williamson Tobacco Corporation (B&W), a subsidiary of British American Tobacco that was the third-largest manufacturer and marketer of cigarettes in the United States prior to the merger of its U.S. operations with Reynolds Tobacco in July 2004. At that time, Reynolds American became the new parent company.
With more than 20 years of U.S. and international experience, Ivey served as head of international brands and earlier as director of marketing in China for British American Tobacco.
Ivey joined Brown & Williamson Tobacco in 1981 as a sales representative, and held various trade and brand positions, including division manager and brand director, prior to her international assignments in 1990. She returned to Brown & Williamson in 1999 and served as senior vice president of marketing and a member of the company's executive committee prior to her elevation to president and CEO in January 2001.
Ivey is ranked No. 26 in Fortune magazine's 2009 listing of the 50 Most Powerful Women in Business and is No. 58 in Forbes magazine's 2009 World's 100 Most Powerful Women. She is also ranked No. 33 in the Financial Times' 2009 Top 50 Women in World Business.
Ivey serves on the Women's Leadership Initiative for the United Way of America. She is a board member of the United Way of Forsyth County, Winston-Salem YWCA, Senior Services, Inc. in Winston-Salem and Salem College. She also serves on the boards of the University of Florida Foundation and RR Donnelley.
Ivey received an MBA degree from Bellarmine University in May, 1987 and a bachelor of science - business degree from the University of Florida in 1980.
Nicandro Durante

Mr. Durante has been chief operating officer at British American Tobacco p.l.c, the world's second-largest publicly traded tobacco group since January 2008. Prior to that, he was BAT's regional director for Africa and the Middle East. Mr. Durante joined BAT's Brazilian subsidiary, Souza Cruz, in 1981, and has held a number of financial and managerial positions for BAT affiliates in Europe, South America, Africa, the Middle East and Asia. In 1996 he was seconded to BAT's head office in London as marketing finance controller, and he was appointed finance director in Hong Kong in 1998. He returned to Brazil in 2002 as finance director for Souza Cruz and was appointed general manager of Souza Cruz later that year. He became BAT's regional director for Africa and the Middle East in March 2006.
Martin D. Feinstein

Mr. Feinstein was the chairman of Farmers Group, Inc. and Farmers New World Life Insurance Company from 1997 to July 2005. He served as the chief executive officer of Farmers Group, Inc. from 1997 to April 2005 and as president and chief operating officer of Farmers Group, Inc. from 1995 to 1996. He retired from Farmers Group, Inc. in July 2005. Prior to 1995, Mr. Feinstein held various management positions with Farmers Group, Inc., including senior vice president - property/casualty operations, senior vice president - chief information officer, and senior vice president - chief marketing officer from 1980 to 1994. Farmers Group, Inc. is a holding company of Farmers New World Life Insurance Company. Farmers Group, Inc. was an indirect, wholly owned subsidiary of B.A.T. Industries p.l.c., an affiliate of BAT, from 1988 to 1998. Mr. Feinstein was a member of the board of directors of B.A.T. Industries p.l.c. from January 1997 to September 1998, and was a member of the group management board of Zurich Financial Services from 1998 to April 2005. Mr. Feinstein is a member of the boards of directors of GeoVera Holdings, Inc. and Amlin p.l.c.
Mr. Jobin has been executive vice president and chief financial officer of CN (Canadian National Railway Company) since June 2009. Prior to that, he was executive vice president of Power Corporation of Canada (PCC), an international management and holding company, from February 2005, with responsibility for overseeing PCC's diversified portfolio of investments. Prior to joining PCC, he spent 22 years in a variety of financial and executive management positions with Imasco Limited and its Canadian tobacco subsidiary, Imperial Tobacco. Imasco, a major Canadian consumer products and services corporation, became a BAT subsidiary in 2000. Mr. Jobin served as president and chief executive officer of Imperial Tobacco from the fall of 2003 until he joined PCC. Mr. Jobin serves on the board of directors of Victoria Square Ventures Inc., Picchio Pharma, Inc. and GESCA Ltd. He is also a member of the board of the On the Tip of the Toes Foundation, which organizes therapeutic adventure expeditions for teenagers living with cancer.
Ms. Koeppel has served as the co-head of Citi Infrastructure Investors, an investment fund focused on investment opportunities within the infrastructure sectors, since January 2010. Previously, she was executive vice president of American Electric Power (AEP), one of the largest power generators and distributors in the United States, from 2002 to 2009. She joined AEP in 2000 as vice president, new ventures, AEP corporate development and was promoted to senior vice president, corporate development and strategy in 2002. Later that year, she was promoted to executive vice president, energy services. She became executive vice president, commercial operations in 2003 and served as executive vice president of AEP Utilities-East from 2004 until she was appointed chief financial officer in 2006. Prior to joining AEP, Koeppel was regional vice president, Asia Pacific, Sydney, Australia for Consolidated Natural Gas from 1996 to 2000. Ms. Koeppel has served as a director on the boards of energy or technology companies in the United Kingdom, Brazil, China and Australia. She also currently serves on the board of directors of CoaLogix, Inc. and is a member of The Ohio State University Dean's Advisory Council.
Elected 2004 Mr. Mensah has been the chairman and chief executive officer of 'XPORTS, Inc., a privately held company that exports food packaging and food processing equipment and pharmaceuticals to foreign markets, since January 2005, and previously served in those same positions from April 2003 until July 2003 and from October 2000 until December 2002. He had served as the chief operating officer — domestic of Church's Chicken, a division of AFC Enterprises, Inc. and one of the world's largest quick-service restaurant chains, from August 2003 to December 2004, when it was sold to a private equity firm. Mr. Mensah was president, U.S. tax services of H&R Block Inc., a tax, mortgage and financial services company, from January 2003 until March 2003. He also was a management consultant from October 1999 to September 2000. Previously, Mr. Mensah served as president and chief operating officer of Long John Silver's Restaurants, Inc., the world's largest chain of seafood quick-service restaurants, from 1997 until it was sold under his auspices in October 1999. Mr. Mensah worked for PepsiCo from 1990 to 1994 and for PepsiCo Restaurants International from 1994 to 1997, in a variety of senior executive positions. Prior to joining the board of RAI , Mr. Mensah served on the board of directors of R.J. Reynolds Tobacco Holdings, Inc., a wholly owned subsidiary of RAI and formerly a publicly traded company, referred to as RJR, from June 1999 to July 2004. Mr. Mensah is a distinguished fellow at Georgetown College in Kentucky. He also is a member of the boards of trustees of the Lexington Philharmonic Society, the Children's Miracle Network and the Kentucky Children's Hospital.
Mr. Nowell is the former senior vice president and treasurer of PepsiCo, the world's fourth-largest food and beverage company. Prior to August 2001, he served as chief financial officer for The Pepsi Bottling Group, a position he assumed in 2000 after serving as controller for PepsiCo since July 1999. Mr. Nowell joined PepsiCo in July 1999 from RJR Nabisco, Inc. (now known as RJR), where he was senior vice president, strategy and business development from January, 1998 to July, 1999. From 1991 to 1998, Mr. Nowell held a variety of senior financial roles at the Pillsbury division of Diageo PLC. Prior to joining Pillsbury, Mr. Nowell spent eight years as a finance executive at Pizza Hut, which at the time was a division of PepsiCo. Mr. Nowell is a member of the board of directors of American Electric Power Company and serves on the Dean's Advisory Board at The Ohio State University Fisher College of Business. He is an active member of the Executive Leadership Council, Financial Executive Institute, American Institute of Certified Public Accountants and The Ohio Society of CPAs.
Mr. Powell retired in 2002 from Interbrew S.A., an international brewer that in 2004 became part of InBev S.A., where he served as chief executive officer since 1999. During Mr. Powell's tenure as chief executive officer, he led Interbrew through a crucial period in its expansion and evolution, including the completion of 33 acquisitions. Between 1984 and 1999, Mr. Powell held various operational positions within John Labatt Ltd. and Interbrew, including chief executive officer of Interbrew Americas since 1995.
Mr. Withington has been director, legal and security, and group general counsel of BAT, the world's second largest publicly traded tobacco group, since August 2000. Mr. Withington joined BAT in 1993 as a senior lawyer and served in that capacity until 1995. He was named assistant general counsel and head of product liability litigation group of BAT in 1996. Mr. Withington then served as the deputy general counsel of BAT from 1998 until 2000.
John J. Zillmer

Mr. Zillmer has served as president and chief executive officer of Univar since October 2009. Univar is a leading global distributor of industrial and specialty chemicals and related services. Previously, he was chairman and chief executive officer of Allied Waste Industries, Inc., the nation's second-largest waste management company, from May 2005 to December 2008, when Allied Waste merged with Republic Services, Inc. Prior to joining Allied Waste, Mr. Zillmer had been retired since January 2004. From May 2000 until January 2004, he served as executive vice president of ARAMARK Corporation. During the same period, he also served as president of ARAMARK's Food and Support Services Group. From August 1999 to May 2000, he served as president of ARAMARK's Food and Support Services International division, and from May 1995 to August 1999, he served as president of ARAMARK's Business Services division. He also is a member of the board of directors of Ecolab Inc.
